1. Acceptance of Terms

By accessing and using Upverse ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Upverse provides tech career coaching services, AI-generated behavioral and technical mock interviews, system design preparation, interactive chatbot assistance, and resume analysis tools. Our services include:

• One-on-one coaching sessions with experienced tech professionals for behavioral, technical, and system design prep
• AI-powered resume analysis and optimization recommendations
• AI-generated behavioral and technical mock interviews via voice input and transcription
• Interactive AI chatbot for career guidance and technical queries
• Document hosting, historical session tracking, and community sharing capabilities

3. User Accounts and Registration

To access certain features of our service, you may be required to create an account. By creating an account, you represent and warrant that you are at least 18 years of age or the age of legal majority in your jurisdiction. You further agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized use of your account

4. Consent for Audio Recording and Processing

To utilize our AI-generated mock interview features, you will be asked to provide voice inputs. By using these features, you explicitly consent to:

• The recording and temporary storage of your voice and audio inputs
• The transcription of your audio into text by our systems and designated third-party processors
• The use of this transcribed data by our artificial intelligence models to provide interview feedback and analysis

5. User Content and Licensing

You retain all ownership rights to the documents, resumes, system design materials, chatbot queries, and audio recordings you submit to Upverse ("User Content"). However, to provide and improve our services, we require certain permissions. By submitting User Content, you grant us a:

• Worldwide, non-exclusive, royalty-free license to host, store, copy, and process your content to provide your requested services
• Right to use anonymized, de-identified data (with all personal identifiers removed) to train our AI models, improve our algorithms, and enhance platform features globally
• Right to display, distribute, and make your content available to third parties only if you explicitly choose to share it via our Community section or through public shareable links

6. Community and Shared Content

Upverse provides features that allow you to share your interview history, system designs, and performance metrics with the Upverse community or via direct links. When utilizing these sharing features, you agree that:

• You are solely responsible for the content you choose to share publicly
• You will not share confidential information, trade secrets, or copyrighted material belonging to your current or former employers
• We are not responsible or liable for the conduct, comments, or actions of other users within the Community section
• We reserve the right, but have no obligation, to monitor, edit, or remove any shared content that we determine violates these Terms at our sole discretion

7. AI Services and Limitations

Our AI features, including resume analysis, system design prep, interactive chatbots, and mock interviews, are provided for personal practice and informational purposes only. You understand and agree that:

• Analysis, chatbot responses, and feedback are generated by artificial intelligence and may not be 100% accurate, complete, or free from bias
• AI behavioral, technical, and general coaching feedback does not constitute a definitive assessment of your professional abilities
• Recommendations and chatbot answers should be considered as suggestions, not guarantees of employment success, job placement, or factual accuracy

8. Data Retention and Account History

We provide access to your historical interview runs, chatbot conversations, performance logs, and uploaded designs for your convenience. However, Upverse is not intended to serve as a secure, permanent backup service for your professional documents. We reserve the right to establish limitations on data storage, including the right to delete historical runs after a specific period of account inactivity or to maintain optimal platform performance. You are encouraged to maintain independent backups of your important documents.

9. Platform Monitoring and Analytics

To ensure the health, security, and continual improvement of Upverse, we actively monitor platform activity, system logs, and user interactions. We collect and own anonymized, aggregated telemetry data (such as page visit durations, feature usage rates, and error logs). This data is utilized for quality assurance, security monitoring, abuse prevention, and overall product development.

10. Coaching Services

Our coaching services are provided by qualified professionals. However:

• Coaching advice is based on professional experience and best practices
• Results may vary based on individual circumstances and effort
• We do not guarantee specific career outcomes or salary increases

11. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information. By using our service, you consent to our data practices as described in our Privacy Policy.

12. Payment and Refunds

Payment terms for coaching services will be clearly communicated before booking. Our refund policy includes:

• Cancellations made 24+ hours before scheduled sessions may receive full refunds
• No-shows or cancellations within 24 hours are non-refundable
• AI resume and interview analysis services are non-refundable once the analysis is completed

13. Upverse Intellectual Property

All platform content, software, features, and functionality of Upverse are owned by Upverse AI LLC and are protected by intellectual property laws. You may not:

• Copy, modify, or distribute our proprietary content without permission
• Use our service for commercial purposes without authorization
• Reverse engineer or attempt to extract source code or AI prompts

14. Prohibited Uses

You agree not to use our service to:

• Upload malicious files or content that could harm our systems
• Share false, misleading, or fraudulent information
• Violate any applicable laws or regulations, including wiretapping or privacy laws
• Harass, abuse, or harm other users within the Community features

14a. Misuse and Violations

Upverse is intended exclusively for legitimate learning, interview preparation, and career development purposes. Any misuse of the platform, including but not limited to the following, is strictly prohibited:

• Using AI features, mock interviews, or coaching content for purposes other than personal learning and professional development
• Sharing interview questions, answers, or coaching feedback with unauthorized third parties or on public forums
• Reselling, redistributing, or commercializing Upverse content, AI models, or services without authorization
• Attempting to bypass security measures, access unauthorized content, or reverse-engineer our AI systems
• Using the platform to cheat in actual job interviews, assessments, or certifications
• Uploading content that is defamatory, discriminatory, or violates the intellectual property rights of others
• Violating any terms outlined in these Terms of Service or our Privacy Policy

Consequences of Misuse: Any violation of these terms will result in immediate account suspension without warning. Suspended accounts are ineligible for refunds, including any prepaid credits, subscription fees, or coaching session payments. Repeat or severe violations may result in permanent account termination and legal action if warranted.

15. Third-Party Services and Links

Our service may integrate with third-party websites, applications, and services (such as payment processors and AI models). We do not control and are not responsible for the content, privacy policies, or availability of any third-party services. Your use of these third-party services is at your own risk.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, Upverse AI LLC EXPLICITLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will meet your requirements, that it will be uninterrupted, secure, or error-free, or that any errors in the software will be corrected.

17. Limitation of Liability

To the fullest extent permitted by law, Upverse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses resulting from your access to or use of our service.

18. Indemnification

You agree to defend, indemnify, and hold harmless Upverse AI LLC from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the service; (b) your violation of these Terms; or (c) any claim that your shared User Content caused damage to a third party.

19. Termination and Account Suspension

We reserve the right to terminate or suspend your account and access to our service at our sole discretion, without notice, for conduct that we believe violates these Terms of Service or is harmful to other users. Account suspensions may be temporary or permanent, depending on the severity of the violation.

No Refunds Upon Suspension: Users whose accounts are suspended due to violation of these terms are not eligible for refunds of any kind, including but not limited to: prepaid subscription fees, credit balances, coaching session payments, or analysis service fees. This applies regardless of whether the account is suspended permanently or temporarily.

20. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

21. Dispute Resolution and Arbitration

Informal Resolution First: We want to address your concerns without needing a formal legal case. Before filing a claim against Upverse AI LLC, you agree to try to resolve the dispute informally by contacting us at upverseai@gmail.com. We will try to resolve the dispute and are happy to issue refunds where appropriate in accordance with our policies.

Binding Arbitration: If a dispute is not resolved informally within 30 days of submission, you or Upverse AI LLC may bring a formal proceeding. You agree that any dispute arising out of these Terms shall be settled by binding arbitration in California, except that each party retains the right to bring an individual action in small claims court.

CLASS ACTION WAIVER: YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND YOU WILL NOT SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION.

22. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through our service. Continued use of our service after changes constitutes acceptance of the new terms.
